These terms set out the basis on which venues participate in and use Settl.

1. About these terms

These Venue Terms apply to organisations that list or manage a hospitality or workspace venue through Settl. They should be read with the Privacy Policy and any venue agreement or onboarding information supplied by Settl.

Settl is operated by Settl Anywhere Limited (company number 17312588), whose registered office is at Unit 14, Sheffield Science Park, Arundel Street, Sheffield, United Kingdom, S1 2NS. Settl Anywhere Limited is referred to in these terms as “Settl”, “we”, “us” or “our”.

About Settl

Settl helps people discover suitable existing hospitality and workspace venues. It does not require a venue to become a traditional coworking space.

2. Joining Settl

Venue eligibility

A venue joins by applying through Settl and being accepted. We may decline or delay an application, and we may ask for evidence that the person applying is authorised to act for the venue. Access to the venue portal is granted per person and must not be shared.

3. Venue information, listings and offers

Venues are expected to provide information needed to create and maintain their listing. The final obligations concerning accuracy, updates, availability, opening hours and notices must be set out in the signed venue arrangement.

Offers and member benefits

Offers or benefits may form part of a venue's Settl setup where agreed. These terms do not impose a universal discount or minimum offer.

Bookings

Booking requirements may vary by venue and may involve third-party systems. No universal booking-acceptance or availability obligation is stated here.

4. Responsibilities

Venue responsibilities

A venue is responsible for keeping its listing accurate - including opening hours, facilities and any offer it publishes - for honouring the bookings it accepts, for welcoming Settl members on the same terms as its other customers, and for complying with the law that applies to its own business, including licensing, food safety and health and safety.

Settl's responsibilities

Settl will make the venue portal and the member app available with reasonable skill and care, will pass on the booking details a venue needs to expect a member, and will tell a venue in good time about changes that materially affect how it uses Settl. Settl does not guarantee a level of bookings or footfall.

5. Fees and commission

The currently stated commercial position is that a venue is free to list and Settl charges no Settl commission or Settl booking fee.

Settl does not state that it covers charges imposed by a venue's own providers or third-party systems.

6. Third-party systems and integrations

Settl may work alongside supported hospitality booking or other third-party systems where applicable. Availability depends on the venue setup. Each third party remains responsible for its own services and terms.

Intellectual property

A venue grants Settl a non-exclusive licence to use its name, logo and the images it supplies in order to list and promote the venue on Settl, for as long as the listing is live. Settl's own branding and platform remain ours, and may be used by a venue only to show that it takes part in Settl.

7. Data protection

Each party must handle personal data in accordance with applicable data-protection law and the agreed data roles. See the Privacy Policy.

Each party is an independent controller of the personal data it holds: Settl for member accounts and bookings, the venue for its own customer and business records. Each will handle personal data in accordance with applicable data-protection law, will use member details shared through Settl only to fulfil the booking they relate to, and will tell the other without undue delay about an incident affecting shared data.

8. Suspension, removal and ending the relationship

Settl may need to suspend or remove listings or access in circumstances defined in the final agreement.

Either party may end the relationship by giving 30 days' written notice. Settl may suspend or remove a listing immediately where a venue is in material breach of these terms, where members are put at risk, or where the law requires it. Bookings already accepted should still be honoured.

9. Liability

Nothing in these terms limits liability that cannot be limited by law, such as for death or personal injury caused by negligence, or for fraud. Subject to that, neither party is liable for indirect or unforeseeable losses. A venue remains responsible for what happens on its premises; Settl is not liable for the acts or omissions of an independent venue.

10. Changes and general terms

We may update these terms and will post the current version here with the date above; where a change materially affects a venue we will give notice before it takes effect. Neither party may assign these terms without the other's consent, except to a group company or on a sale of the business. A delay in enforcing a term does not waive it, and if any term is found unenforceable the rest continue to apply.

Governing law

These terms are governed by the laws of England and Wales.

Subject to any mandatory rights that apply, disputes may be brought before the courts of England and Wales.
